These Terms and Conditions govern your access to and use of the website and consulting services offered by MDP Technology Consultants, LLC ("Company," "we," "us," or "our"). By using this website or engaging our services, you agree to be bound by these Terms.
We provide technology consulting services that may include IT strategy, infrastructure advisory, cloud planning, cybersecurity risk assessments, and related professional services. Specific scope, deliverables, timelines, and fees are defined in a separate written agreement or statement of work.
Clients agree to provide accurate information, timely access to required stakeholders and systems, and prompt feedback necessary for project delivery. Delays in these responsibilities may affect project schedules and outcomes.
Fees, invoicing schedules, and payment terms are set out in your service agreement. Unless otherwise stated, invoices are payable according to the terms listed on the invoice. Late payments may result in suspension of services.
Each party agrees to protect confidential information received from the other party and to use it solely for the purpose of performing or receiving services. Confidentiality obligations continue after termination of the engagement, subject to applicable law.
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property. Deliverables prepared specifically for a client are governed by the ownership and license terms in the applicable service agreement.
Consulting recommendations are provided based on available information, industry practices, and professional judgment. We do not guarantee any specific business, financial, or operational outcome, as implementation and external factors remain outside our direct control.
To the maximum extent permitted by law, MDP Technology Consultants, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim relating to services will not exceed the amount paid by the client for the specific services giving rise to the claim.
Either party may terminate services according to the termination terms in the governing agreement. Upon termination, clients remain responsible for payment of fees earned through the effective termination date.
These Terms are governed by applicable laws in the relevant jurisdiction specified in your service agreement. Any disputes are subject to the agreed forum and venue.
